6 Terms, Conditions & Legal Compliance
Please read the following carefully. You must scroll through and acknowledge all terms before submitting.

ACCEPTED CREDIT OPTIONS

CREDIT CARD: Visa, MasterCard, Discover, and AMEX. References not required. All CC charges subject to a 2.5% processing fee.

PREPAY: ACH, Wire, and check are accepted with approval from Canwil Textiles, Inc. References not required. Please note: We do not cover bank fees. The total amount of the invoice should be the exact amount transferred to our bank.

NET 30: The approval process may vary based on how quickly qualified trade references respond. Upon approval, standard terms are Net 30 days. A minimum of three (3) current trade references is required. References must be suppliers extending open credit terms (Net 30/45/60). Utility companies, banks, credit cards, and prepaid vendors are not acceptable. Bank information is also required to process your application.

CREDIT POLICY

Unless stated otherwise, Net 30 days will be the set payment terms from the date of the invoice.

Payments must be US funds.

Invoices remaining unpaid 60 days after the date of the invoice will be subject to a 2% per month service charge.

Accounts remaining delinquent beyond 60 days will be placed on a CREDIT HOLD.

An account under CREDIT HOLD will not be eligible for orders to ship until the past due is paid.

Accounts consistently holding an unpaid balance over 60 days will forfeit their Net 30 terms and be moved to Credit Card payments.

Items returned and/or canceled after the order has been prepared to ship will incur a 15% restock fee.

Installation & Liability Disclaimer

Canwil Textiles, Inc. supplies materials and products only and does not provide installation, engineering, design, inspection, or supervision services. Canwil has no control over site conditions, structural integrity, mounting methods, or workmanship. All products must be installed by qualified professionals in accordance with applicable building codes, safety standards, and manufacturer guidelines.

Canwil assumes no responsibility or liability for damages, injuries, losses, or failures resulting from improper installation, misuse, modification, or failure to follow recommended specifications. Purchasers and installers assume full responsibility for determining product suitability and safe installation for their specific application.

Product Testing & Performance Disclaimer

Certain Canwil Textiles, Inc. products may be tested for specific performance characteristics, including but not limited to fire resistance, durability, strength, and environmental exposure. Any testing data, certifications, or performance information provided by Canwil is for general informational purposes only and is based on standard laboratory conditions at the time of testing.

Actual performance may vary depending on installation methods, environmental conditions, handling, maintenance, and end-use applications. Canwil makes no guarantee that products will perform identically in all applications or environments. Customers are solely responsible for conducting independent testing and verification to determine product suitability and compliance with applicable laws, regulations, and industry standards for their intended use.

Limitation of Liability

To the fullest extent permitted by law, Canwil Textiles, Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, personal injury, or property damage, arising out of or relating to the sale, delivery, installation, use, misuse, modification, or failure of any products.

Canwil's total cumulative liability for any claim shall not exceed the amount paid by the customer to Canwil for the specific products giving rise to the claim.

Indemnification

Buyer agrees to indemnify, defend, and hold harmless Canwil Textiles, Inc., its officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to installation, use, resale, modification, or distribution of Canwil products.

Regulatory & Code Compliance

Customers are solely responsible for ensuring that all products comply with applicable federal, state, and local laws, regulations, building codes, fire codes, safety standards, and industry requirements for their intended use. Canwil does not guarantee compliance with any specific regulatory or jurisdictional requirements unless expressly stated in writing.

No Professional Services Disclaimer

Canwil Textiles, Inc. does not provide engineering, architectural, legal, safety, or compliance advice. Any technical information, recommendations, or support provided by Canwil employees or representatives is offered as general guidance only and should not be relied upon as professional advice. Customers are encouraged to consult qualified professionals for project-specific requirements.

Proposition 65 & Chemical Compliance Notice

Certain Canwil Textiles, Inc. products may contain or be exposed to chemicals, including lead, which are known to the State of California to cause cancer, birth defects, or other reproductive harm. Canwil provides this information in accordance with applicable regulations. Customers are solely responsible for determining chemical compliance, conducting independent testing, and ensuring that fabrics and finished products meet all applicable state and federal chemical safety requirements.

Fire Retardant & Flammability Disclaimer

All fire retardant (FR) and flame-resistant products are tested in controlled laboratory environments in accordance with applicable test procedures at the time of testing. Actual flammability performance may vary due to atmospheric conditions, installation methods, handling, environmental exposure, and end-use applications. Canwil makes no guarantee that FR-treated fabrics will perform identically in all environments or finished products.

Customers are solely responsible for testing the flammability and fire performance of finished products and installations to ensure compliance with applicable fire codes, safety standards, and regulatory requirements.

Warranty Disclaimer

Except as expressly stated in writing, Canwil Textiles, Inc. makes no warranties, express or implied, including but not limited to any implied warranties of merchantability or fitness for a particular purpose. All products are sold "as is" and "as available," subject to applicable manufacturer warranties where provided.

Acceptance of Terms

By purchasing, using, or installing products supplied by Canwil Textiles, Inc., customers acknowledge that they have read, understood, and agreed to these Legal & Compliance terms. These terms apply to all sales, quotations, invoices, credit applications, and agreements unless otherwise stated in writing by an authorized officer of Canwil.

Updates & Modifications

Canwil Textiles, Inc. reserves the right to modify or update these Legal & Compliance terms at any time without prior notice. Updates will be posted on the company website and become effective upon publication. Customers are responsible for reviewing current terms prior to placing orders.

What is this form?

This is Canwil Textiles' new customer account application. Complete it to set up trade credit terms so you can place orders with us. The whole form takes about 5 minutes.

The Sections

  • Company Information — Your legal business name, address, phone, EIN (federal tax ID), and website.
  • Contacts — Who handles purchasing (PO Contact) and who handles payments (AP Contact). These can be the same person.
  • Billing & Shipping — Where invoices go and where product ships. Click "Same as billing" if they match.
  • Payment Terms — Choose how you'll pay: Credit Card, Wire/ACH, or Net 30 (trade credit).
  • Terms & Conditions — Read and scroll to the bottom, then check the box to agree.
  • Signature — Draw your signature in the box using your mouse or finger on mobile.

Payment Options Explained

  • Credit Card — We'll email you a CC Authorization Form to complete and return. We do not store card numbers on file.
  • Wire / ACH — We'll email you our Pinnacle Bank wire instructions after approval. Payment due before shipment.
  • Net 30 Terms — Requires 3 trade references (suppliers who extend you credit) and your bank information. We contact references directly — this takes 3–5 business days. You must currently be buying from these suppliers on open terms.

EIN & DUN Numbers

  • EIN — Your federal Employer Identification Number (format: XX-XXXXXXX). Optional but speeds up credit review.
  • DUN # — Your Dun & Bradstreet business credit number. Optional — only include if you have one.

Net 30 Trade References

References must be suppliers who currently extend you open credit terms (Net 30, 45, or 60). Utility companies, banks, credit cards, and prepaid vendors are not acceptable. We'll contact each reference with a credit inquiry form.
